Hanfa Board meeting: Approval granted to Čakovečki mlinovi to announce a takeover bid relating to the acquisition of Zagrebačke pekarne Klara
The Croatian Financial Services Supervisory Agency (Hanfa) adopted a decision, at today's meeting, granting approval to the company Čakovečki mlinovi d.d., Čakovec, to announce a takeover bid relating to the acquisition of the company Zagrebačke pekarne Klara d.d., Zagreb. The price at which the offeror undertakes to pay per share is EUR 120.25 for each ordinary share of the company.
Čakovečki mlinovi holds 174,673 ordinary shares directly, and 69,621 ordinary shares indirectly, a total of 244,294 ordinary shares. This bid relates to the remaining 39,466 ordinary shares.
The initial capital of Zagrebačke pekarne Klara d.d. amounts to EUR 15,039,280.00, divided into 283,760 ordinary shares with voting rights and nominal amount of EUR 53, admitted to the Regular Market of the Zagreb Stock Exchange.
In this transaction, the offeror is acting in concert with the following companies: Mlin i pekare d.o.o., Plodinec d.o.o., Allianz ZB d.o.o. društvo za upravljanje obveznim i dobrovoljnim mirovinskim fondovima (pension company) and PBZ Croatia osiguranje d.d. za upravljanje obveznim mirovinskim fondovima (mandatory pension company) (both pension companies acting in their own name and on the account of the funds they manage) and with Josip and Dragica Plodinec (natural persons).
