43rd Meeting

On 9 December 2021, the Board of the Croatian Financial Services Supervisory Agency held its 43rd meeting and adopted the following decisions of public interest:

1. Ordinance amending the Ordinance on the structure and contents of annual and semi-annual financial statements and other reports of alternative investment funds

2. Ordinance amending the Ordinance on the structure and contents of annual and semi-annual statements and other reports of AIF management companies

3. Ordinance amending the Ordinance on liquidation and extension of AIFs

4. Decision granting approval to the company SAMOBORKA d.d., Samobor, Zagrebačka 32a, personal identification number (OIB): 53149109818, for a single prospectus relating to the admission to the regulated market of 2,000,000 registered dematerialised bonds with a denomination of EUR 1.00, with a fixed annual interest rate with quarterly interest payment and principal depreciation through unequal quarterly instalments, in full upon the maturity on 2 August 2026, and with the total nominal value of EUR 2,000,000

5. Decision granting approval to the company STANIĆ BEVERAGES d.o.o., Zagreb, Slavonska avenija 22, personal identification number (OIB): 25420356246, to publish a takeover bid relating to the acquisition of the company MARASKA d.d., Zadar, Biogradska cesta 64a, personal identification number (OIB): 07602786563

6. Decision granting authorisation to Gerhard Maier to perform the function of a member of the Supervisory Board of the pension fund management company ERSTE d.o.o. za upravljanje obveznim i dobrovoljnim mirovinskim fondovima, with its registered office in Zagreb, Ulica Ivana Lučića 2A, personal identification number (OIB): 49659289650, for a term lasting four (4) years, running as of the day of the delivery of this decision

7. Decision granting authorisation to Marko Klemenčič to perform the function of a member of the Management Board of the insurance company MERKUR OSIGURANJE d.d., Ulica kneza Ljudevita Posavskog 31, Zagreb, personal identification number (OIB) 08937835435, for a term lasting from 1 January 2022 to 31 December 2024

8. Decision granting authorisation to conduct insurance distribution business to Jelena Markežić, co-owner of the insurance representation craft Markežić&co, obrt za zastupanje u osiguranju, Milan Markežić i Jelena Markežić, Poreč, Trg Slobode 2
9. Decision granting authorisation to conduct insurance distribution business to the pre-company FLUMEN AGENCIJA društvo s ograničenom odgovornošću za zastupanje u osiguranju, with its registered office in Rijeka, Save Vukelića 21
