39th Meeting

On 10 November 2021, the Board of the Croatian Financial Services Supervisory Agency held its 39th meeting and adopted the following decisions of public interest:

1. Decision granting approval to the company INA-INDUSTRIJA NAFTE, d.d., Zagreb, Avenija V. Holjevca 10, personal identification number (OIB): 27759560625, for a simplified single prospectus relating to the public offering and admission to the regulated market of registered dematerialised bonds, of total nominal amount up to maximum HRK 2,000,000,000.00, with a denomination of HRK 1,000,000.00, with a fixed annual interest rate with semi-annual interest payments and a one-time principal maturity of 5 years
2. Decision granting approval to the company Inspire Investments d.o.o., Zagreb, Ulica Andrije Hebranga 34, personal identification number (OIB): 62573520714, to change the depositary of the closed-ended alternative investment fund with public offering SLAVONSKI ZATVORENI ALTERNATIVNI INVESTICIJSKI FOND S JAVNOM PONUDOM d.d., Zagreb, Ulica Andrije Hebranga 34, personal identification number (OIB): 06371858079, from Addiko Bank d.d. Zagreb, Slavonska avenija 6, personal identification number (OIB): 14036333877, to OTP banka d.d., Split, Domovinskog rata 61, personal identification number (OIB): 52508873833
3. Decision granting authorisation to Snježana Šalković Dasović to perform the function of a member of the Management Board of the company Erste Asset Management društvo s ograničenom odgovornošću za upravljanje investicijskim fondovima, with its registered office in Zagreb, Ivana Lučića 2a, personal identification number (OIB): 68572873963, for a term lasting 3 (three) years, from 16 November 2021 to 16 November 2024
4. Decision granting authorisation to Bojan Vuković to perform the function of a member of the Management Board of the company Raiffeisen društvo za upravljanje obveznim i dobrovoljnim mirovinskim fondovima d.d., with its registered office in Zagreb, Petrinjska 59, personal identification number (OIB): 14148900600, for a term lasting for 4 (four) years, from 1 January 2022 to 31 December 2025
5. Decision granting authorisation to conduct insurance distribution business to the pre-company ADORA PRO d.o.o. za zastupanje u osiguranju, with its registered office in Varaždin
6. Decision ordering the insurance agency TRIGLAV SAVJETOVANJE d.o.o., Zagreb, Sarajevska cesta 60, personal identification number (OIB): 98300034831, for the purpose of eliminating illegalities and irregularities, to: with regard to the ongoing exposure of the Intermediary to liquidity risk, prescribe in detail and apply a comprehensive process of regular monitoring and management of liquidity risk containing at least the measures laid down in Article 8 of the Financial Operations and Pre-Bankruptcy Settlement Act; with regard to continuous loss-making above the level of the Intermediary's share capital, prescribe in detail and apply the capital adequacy management process in accordance with Article 9 of the same Act; with regard to internal regulations of the Intermediary and the organisation of the pursuit of insurance distribution activities: fully align and apply the provisions of internal regulations relating to the insurance distribution process and, in relation to the pre-contractual informing process, i.e. carrying out suitability tests, in connection with the sale of non-consultancy insurance-based investment products, immediately improve the procedure of pre-contractual provision of information to clients, i.e. conducting suitability tests in accordance with the legislation
7. Decision revoking the license to pursue insurance distribution business issued to the company AZ Vrabec d.o.o., Ulica Jože Malekovića 30, Zaprešić, personal identification number (OIB): 62115370424, issued on 23 December 2016, by virtue of the Decision of the Croatian Financial Services Supervisory Agency CLASS: UP/I 974-03/16-01/163, REGNO: 326-01-660-663-16-2
8. Decision revoking the license to pursue insurance distribution business issued to the company MA.TE.MA. d.o.o., Istarska 3, Đakovo, personal identification number (OIB): 34957676295, issued on 12 April 2018, by virtue of the Decision of the Croatian Financial Services Supervisory Agency CLASS: UP/I 974-03/18-01/54, REGNO: 326-01-660-663-18-3
9. Decision determining that the company Volvo Financial Services leasing d.o.o., Zagreb, Lučko, Karlovačka cesta 94, personal identification number (OIB): 50622045710, has eliminated the illegalities and irregularities whose elimination was ordered by the Decision by the Croatian Financial Services Supervisory Agency of 16 September 2021 (CLASS: UP/I 973-06/21-01/09; REGNO: 326-01-50-52-521-21-4), by concluding lease agreements in a clear and comprehensible manner in a way that in case of arranging the option of changing the lease annuity/instalment (i.e. the interest rate on the basis of which it is calculated) which is not the result of the adjustment with the defined variable parameter, it clearly defines the manner of change and objective, justifiable and demonstrable reasons for change; and terminating the off-site examination of business operations of the company Volvo Financial Services leasing d.o.o., Zagreb, Lučko, Karlovačka cesta 94, personal identification number (OIB): 50622045710 (CLASS: UP/I 973-06/21-01/09)  
10. Decision determining that the company i4next leasing Croatia d.o.o., Zagreb, Avenija Većeslava Holjevca 20, personal identification number (OIB): 05273526923, has eliminated the illegalities and irregularities whose elimination was ordered by the Decision by the Croatian Financial Services Supervisory Agency of 16 September 2021 (CLASS: UP/I 973-06/21-01/07; REGNO: 326-01-50-52-521-21-5), by concluding lease agreements in a clear and comprehensible manner in a way that, in case of arranging the option of changing the lease annuity/instalment (i.e. the interest rate on the basis of which it is calculated) which is not the result of the adjustment with the defined variable parameter, it clearly defines in lease contracts the manner of change and objective, justifiable and demonstrable reasons for change, requiring the consent of the lessee for these changes; and that finance lease contracts concluded with consumers comply with the provisions of the Consumer Credit Act regarding the interest rate calculation; and terminating the off-site examination of business operations of the company i4next leasing Croatia d.o.o., Zagreb, Avenija Većeslava Holjevca 20, personal identification number (OIB): 05273526923
