24th Meeting

On 8 July 2021, the Board of the Croatian Financial Services Supervisory Agency held its 24th meeting and adopted the following decisions of public interest:

1. Decision granting approval to the company SPAN d.d., Zagreb, Koturaška cesta 47, personal identification number (OIB): 19680551758, for a single prospectus relating to the public offering of up to 578,200 registered dematerialised ordinary shares with the nominal value of HRK 10.00 per share, and a total nominal value of HRK 5,782,000.00; and to the admission to the regulated market of 1,960,000 registered dematerialised ordinary shares with the nominal value of HRK 10.00 per share, and a total nominal value of HRK 19,600,000.00

2. Decision granting approval to the company Meritus ulaganja d.d., Zagreb, Heinzelova ulica 62a, personal identification number (OIB): 62230095889, for a simplified prospectus relating to the public offering of a minimum of 140,000 registered dematerialised ordinary shares without a nominal value; and to the admission to the regulated market of a minimum of 122,000, and a maximum of 140,000 registered dematerialised ordinary shares

3. Decision granting approval to the company Allianz Holding eins GmbH, with its registered office in the Republic of Austria, Vienna, Heitzinger Kai 101-105, entered in the register of the Commercial Court in Vienna, Republic of Austria, under the registration number FN 270042x, personal identification number (OIB): 67524411156, to directly acquire a qualifying holding in the pension fund management company Allianz ZB d.o.o. društvo za upravljanje obveznim i dobrovoljnim mirovinskim fondovima, with its registered office in Zagreb, Heinzelova 70, personal identification number (OIB): 58384724129, reaching 51% of the initial capital and voting rights of that company  

4. Decision granting approval to the company Allianz Holding eins GmbH, with its registered office in the Republic of Austria, Vienna, Heitzinger Kai 101-105, entered in the register of the Commercial Court in Vienna, Republic of Austria, under the registration number FN 270042x, personal identification number (OIB): 67524411156, to acquire business shares in the pension fund management company Allianz ZB d.o.o. društvo za upravljanje obveznim i dobrovoljnim mirovinskim fondovima, with its registered office in Zagreb, Heinzelova 70, personal identification number (OIB): 58384724129, reaching 51% of the initial capital and voting rights of that company  

5. Decision granting approval to the company Allianz Holding eins GmbH, with its registered office in the Republic of Austria, Vienna, Heitzinger Kai 101-105, entered in the register of the Commercial Court in Vienna, Republic of Austria, under the registration number FN 270042x, personal identification number (OIB): 67524411156, to directly acquire a qualifying holding in the insurance company Allianz Hrvatska dioničko društvo za osiguranje, with its registered office in Zagreb, Heinzelova 70, personal identification number (OIB): 237598108, reaching 83.16202% of the initial capital and voting rights of that company  

6. Decision granting authorisation to Slaven Celić to perform the function of a member of the Supervisory Board of the insurance company OTP Osiguranje d.d., Ulica grada Vukovara 284, Zagreb, personal identification number (OIB): 98164456048, for a term of office lasting for 4 (four) years

7. Decision granting authorisation to Balazs Pal Bekeffy to perform the function of a member of the Supervisory Board of the insurance company OTP osiguranje d.d., Ulica grada Vukovara 284, Zagreb, personal identification number (OIB): 98164456048, for a term of office lasting for 4 (four) years

8. Decision granting authorisation to conduct insurance distribution business to Elizabeta Oreč, founder of the insurance representation craft PREMIUM PROTECT, obrt za zastupanje u osiguranju, owned by Elizabeta Oreč, Podstrana - Strožanac Donji, Podčelina 2

Decision determining that the authorisation to conduct insurance distribution business issued to the insurance agency C4 INSURANCE BROKERS d.o.o. za posredovanje u osiguranju i reosiguranju, with its registered office in Zadar, Tadije Smičiklasa 12, personal identification number (OIB): 13251598404, on 6 February 2015 by virtue of the Decision by the Croatian Financial Services Supervisory Agency CLASS: UP/I 974-03/15-01/19, REGNO.: 326-01-660-663-15-4, ceased to be valid on 1 June 2021

13. Decision determining that the authorisation to conduct insurance distribution business issued on 14 December 2016 to Vladimir Prološčić, founder of the insurance representation craft Obrt za zastupanje u osiguranju, PROLOŠČIĆ, owned by Vladimir Prološčić, Žrnovnica, Aljinovića 103, by virtue of the Decision by the Croatian Financial Services Supervisory Agency CLASS: UP/I-453-06/06-03/168, ceased to be valid on 19 May 2021

14. Decision determining that the authorisation to conduct insurance distribution business issued on 19 January 2018 to Mario Radenić, founder of the insurance representation craft Radenić, obrt za zastupanje u osiguranju, owned by Mario Radenić, Zagreb, Kustošijanska 253 A, by virtue of the Decision by the Croatian Financial Services Supervisory Agency CLASS: UP/I 974-03/18-01/06, REGNO: 326-01-660-663-17-4, ceased to be valid on 14 January 2019
15. Decision suspending the procedure initiated upon the application of Ivana Šarić, founder of the insurance representation craft BALTAZAR uslužni obrt za zastupanje u osiguranju i usluge, owned by Ivana Šarić, Primošten, Svetog Josipa 8, for authorisation to perform insurance distribution business
