27th Meeting

On 26 April 2018, the Board of the Croatian Financial Services Supervisory Agency held its 27th meeting and adopted the following decisions:

1. Guidelines on the implementation of proportionality principles regarding remuneration rules in investment fund management companies and exemptions relating to small amounts

2. Decision approving amendments to the Statute of Raiffeisen mandatory pension fund A category to the mandatory and voluntary pension company Raiffeisen društvo za upravljanje obveznim i dobrovoljnim mirovinskim fondovima d.d., with its registered office in Zagreb, Petrinjska 59, personal identification number (OIB): 14148900600

3. Decision approving amendments to the Statute of Raiffeisen mandatory pension fund B category to the mandatory and voluntary pension company Raiffeisen društvo za upravljanje obveznim i dobrovoljnim mirovinskim fondovima d.d., with its registered office in Zagreb, Petrinjska 59, personal identification number (OIB): 14148900600

4. Decision approving amendments to the Statute of Raiffeisen mandatory pension fund C category to the mandatory and voluntary pension company Raiffeisen društvo za upravljanje obveznim i dobrovoljnim mirovinskim fondovima d.d., with its registered office in Zagreb, Petrinjska 59, personal identification number (OIB): 14148900600

5. Decision granting approval to Marin Hrešić for the position of member of the Management Board of the investment fund management company PBZ Invest društvo s ograničenom odgovornošću za upravljanje investicijskim fondovima, with its registered office in Zagreb, Ilica 5, personal identification number (OIB): 73073960573, for a term of office lasting for 3 (three) years as of the day of the adoption of this decision

6. Supplementing Decision establishing that the assets of the open-ended venture capital alternative investment fund with private offering Nexus FGS, personal identification number (OIB): 79640747340, is composed of, among other things, holdings in the following limited liability companies: N. u. d.o.o., P. P. d.o.o., K. d.o.o., A.E.d.o.o., B. d.o.o., M.H. d.o.o. and P. F. d.o.o.

7. Decision granting approval to Renata Pondeljak for the position of member of the Management Board of OTP Leasing d.d., Zagreb, Avenue Center, Avenija Dubrovnik 16/V, personal identification number (OIB): 23780250353, for a new term of office lasting for 3 (three) years

8. Decision granting approval to Klaudija Karabuva Vidas for the position of member of the Management Board of OTP Leasing d.d., Zagreb, Avenue Center, Avenija Dubrovnik 16/V, personal identification number (OIB): 23780250353, for a new term of office lasting for 3 (three) years
9. Decision granting approval to Wiener osiguranje Vienna Insurance Group d.d., Zagreb, Slovenska ulica 24, personal identification number (OIB): 52848403362 to acquire Erste osiguranje Vienna Insurance Group d.d., Zagreb, Slovenska 24, personal identification number (OIB): 82891092011, in accordance with the Acquisition Agreement of 6 February 2018

10. Decision correcting a mistake in the entire decision by the Croatian Financial Services Supervisory Agency CLASS: UP/I 974-03/18-01/54, REG.NO.: 326-01-660-663-18-3 of 12 April 2018, and replacing the name of the pre-company “MA.TE.MA. za zastupanje u osiguranju d.o.o.“ with the name “MA.TE.MA. zastupanje u osiguranju d.o.o.”

Decision granting approval to Snježana Bertoncelj for the position of member of the Management Board of Wiener osiguranje Vienna Insurance Group d.d., Slovenska ulica 24, Zagreb, personal identification number (OIB): 52848403362, for a term of office lasting as of the day of entry in the court register of the acquisition of Erste osiguranje Vienna Insurance Group d.d., Slovenska 24, Zagreb, personal identification number (OIB): 82891092011 by Wiener osiguranje Vienna Insurance Group d.d. until 30 June 2021; and granting approval to Jasminka Horvat Martinović for the position of member of the Management Board of Wiener osiguranje Vienna Insurance Group d.d. for a term of office lasting from 30 June 2018 until 30 June 2021
