Hanfa Board meeting: Hanfa issues two decisions on trading in securities during the trading ban period

At its meeting held on 18 December 2025, the Board of the Croatian Financial Services Supervisory Agency (Hanfa) adopted several decisions, including two decisions on trading in shares during the 30-day trading ban period preceding the publication of the quarterly report for the third quarter of 2025.

The decisions concern Martina Dalić, President of the Management Board of PODRAVKA d.d., and Viktor Lučić, Director of Corporate Strategy and Business Development at KONČAR ELEKTROINDUSTRIJA d.d., and were issued following their trading in shares of those companies. During its off-site supervisory proceedings, Hanfa determined that the transactions were conducted during a trading ban period, thus violating the Market Abuse Regulation and the Capital Market Act, and issued public warnings.

It should be noted that, during the supervisory proceedings conducted with respect to both cases, Hanfa determined that the aforementioned persons, although having traded in shares during the trading ban period, did not possess information considered inside information within the meaning of Article 7 of the Market Abuse Regulation, the existence of which could have a significant effect on the prices of shares of these companies.

Hanfa believes that the publication of the decisions regarding both proceedings is of interest to the general investing public and the entire capital market. The publication aims to prevent the same and similar conduct in the future, both by the individuals mentioned and by other participants in the capital market.
