33rd Meeting

On 19 February 2025, the Board of the Croatian Financial Services Supervisory Agency held its 33rd meeting and adopted the following decisions of public interest:

1. Ordinance amending the Ordinance on the structure, content and manner of and time limits for the submission of annual financial statements, audit reports and interim financial reports, and on the application of the chart of accounts for central securities depositories
2. Decision on the manner of delivery of the depositary notification on the identified irregularities and/or illegalities in the operations of a PEPP provider
3. Decision granting approval to the company ING-GRAD d.d., Zagreb, Kalinovica 3/IV, OIB 93245284305, LEI: 747800V0634Q77II6N67, for a single prospectus relating to the public offering of up to 1,200,000 registered dematerialised ordinary shares with the nominal value of EUR 1.00 per share, and a total nominal value of EUR 1,200,000.00; and to the admission to the regulated market of 3,990,000 registered dematerialised ordinary shares with the nominal value of EUR 1.00 per share, and a total nominal value of EUR 3,990,000.00
4. Decision granting authorisation to the company Mathematica Capital Partners d.o.o. za upravljanje alternativnim investicijskim fondovima, Zagreb, OIB: 89960829083, LEI: 74780090I1R4BG30OZ32, to establish and manage an open-ended alternative investment fund with private offering – hedge fund, under the name of Zenith
5. Decision issuing a warning to the company  HITA-VRIJEDNOSNICE d.d., Zagreb, OIB: 32998446701, LEI: 74780000D0KHEVAXDU51, due to inadequate record keeping of client orders and decisions to deal, as prescribed by Article 74 of the Commission Delegated Regulation (EU) 2017/565 of 25 April 2016 supplementing Directive 2014/65/EU of the European Parliament and of the Council as regards organisational requirements and operating conditions for investment firms and defined terms for the purposes of that Directive, and determining that the illegalities and irregularities established in the Off-Site Inspection Report  CLASS: UP/I 991-04/25-01/01, REGNO: 326-01-40-43-25-2, and that the off-site inspection of the company has finished
6. Decision granting authorisation to Ivo Bulaja from Zagreb to perform the function of a member of the Supervisory Board of the company Allianz ZB d.o.o. društvo za upravljanje obveznim i dobrovoljnim mirovinskim fondovima, with its registered office in Zagreb, OIB: 58384724129, LEI: 549300GMPWLFNKRGJM28, for a term lasting four (4) years, running as of the day of the receipt of this decision
7. Decision granting authorisation to Ana Cvitan Penezić from Zagreb to perform the function of a member of the Supervisory Board of the company Allianz ZB d.o.o. društvo za upravljanje obveznim i dobrovoljnim mirovinskim fondovima, with its registered office in Zagreb, OIB: 58384724129, LEI: 549300GMPWLFNKRGJM28, for a term lasting four (4) years, running as of the day of the receipt of this decision
8. Decision granting authorisation to Gordana Letica from Zagreb to perform the function of a member of the Supervisory Board of the company Allianz ZB d.o.o. društvo za upravljanje obveznim i dobrovoljnim mirovinskim fondovima, with its registered office in Zagreb, OIB: 58384724129, LEI: 549300GMPWLFNKRGJM28, for a term lasting four (4) years, running as of the day of the receipt of this decision
9. Decision granting authorisation to conduct insurance distribution business to the pre-company AGENCIJA TURKOVIĆ d.o.o. za zastupanje u osiguranju, with its registered office in Krč
10. Decision granting authorisation to conduct insurance distribution business to the pre-company CERTITUDO BROKER d.o.o. za brokerske poslove u osiguranju, with its registered office in Zagreb

13. Decision determining that authorisation to conduct insurance distribution business issued on  20 October 2017 to Aleks Bilić from Pula, founder of the insurance representation craft A.B. Consult, obrt za zastupanje u osiguranju, vl. Aleks Bilić, Pula, Argonautska ulica 53A, by virtue of Hanfa’s Decision CLASS: UP/I 974-03/17-01/113, REGNO: 326-01-660-663-17-3, ceased to be valid on 27 December 2024 
14. Decision determining that authorisation to conduct insurance distribution business issued on 22 May 2024 to Dubravko Rašić from Zagreb, founder of the insurance representation craft R4 OSIGURANJE, obrt za zastupanje u osiguranju, vl. Dubravko Rašić, Zagreb, Susedgradski vidikovec 5/A, by virtue of Hanfa’s Decision CLASS: UP/I 994-03/24-01/41, REGNO: 326-01-22-24-2, ceased to be valid on 31 October 2024
15. Decision determining that authorisation to conduct insurance distribution business issued on 17 January 2013 to Darko Jandri from Levkušje, founder of the insurance representation craft JANDRI, obrt za zastupanje u osiguranju, vl. Darko Jandri, Karlovac, Tuškanova 10, by virtue of Hanfa’s Decision CLASS: UP/I-453-02/13-37/1, REGNO: 326-663-13-2, ceased to be valid on 30 November 2024
16. Decision determining that authorisation to conduct insurance distribution business issued on 11 February 2021 to the company HARVEY NORMAN CROATIA d.o.o., with its registered office in Zagreb, Ulica Velimira Škorpika 34/2, OIB 97757193486, represented by Trivun Demir, Managing Director of the Company, by virtue of Hanfa’s Decision CLASS: UP/I 974-03/21-01/17, REGNO: 326-01-22-21-4, ceased to be valid on 19 February 2025
