19th Meeting

On 7 June 2023, the Board of the Croatian Financial Services Supervisory Agency held its 19th meeting and adopted the following decisions of public interest:

1. Decision ordering the company CENTAR FAKTOR d.o.o., Zagreb, OIB: 69566160187, to adjust the balance of receivables with its debtors and the balance of liabilities with its creditors as at 31 March 2023, to enter the adjusted balances into its business books, and use them to draw up its financial reports as at 31 March 2023, in order to eliminate illegalities and irregularities established  

2. Decision determining that the company Raiffeisen Invest d.o.o., Zagreb, OIB: 81769224349, has eliminated the illegalities and irregularities pursuant to Hanfa’s Decision of 17 March 2023 and that the supervisory procedure has finished

3. Decision granting approval to the company TANKERSKA PLOVIDBA d.d., Zadar, to publish a takeover bid relating to the acquisition of the company TURISTHOTEL dioničko društvo za ugostiteljstvo i turizam, Zadar, Obala kneza Branimira 6, OIB: 74204012744, LEI: 74780000HOAHRTBFJ603

4. Decision granting approval to the company BOHEMIAN FINANCING Zártkörűen Működő Részvénytársaság, Hungary, Budapest, to publish a takeover bid relating to the acquisition of the company JELSA dioničko društvo za hotelijerstvo, Jelsa, Jelsa 246, OIB: 51177655549, LEI: 7478000090XHCRVTBU35

5. Decision granting authorisation to the company Eurizon Asset Management Croatia društvo s ograničenom odgovornošću za upravljanje investicijskim fondovima, for the establishment and management of Eurizon HR Target 2026 fond, open-ended investment fund with public offering, which includes the approval of the prospectus and rules of the fund, as well as the approval for the selection of the depositary for the Fund – the company PRIVREDNA BANKA ZAGREB - DIONIČKO DRUŠTVO; and granting exception to invest up to 100% of the net assets of Eurizon HR Target 2026 fond, open-ended investment fund with public offering, in transferable securities and money market instruments issued or guaranteed by the Republic of Italy

6. Decision granting authorisation to the company ZB Invest d.o.o. za upravljanje investicijskim fondovima, Zagreb, for the establishment and management of ZB Invest Funds – ZB bond 2025 EUR, open-ended investment sub-fund with public offering, and to include this sub-fund into ZB Invest Funds, the umbrella UCITS fund, which includes the approval of the prospectus and rules of the sub-fund, as well as the approval for the selection of the depositary for the sub-fund – the company ZAGREBAČKA BANKA DIONIČKO DRUŠTVO; and granting authorisation to invest up to 100% of the net assets of ZB Invest Funds – ZB bond 2025 EUR, open-ended investment sub-fund with public offering, in transferable securities and money market instruments issued or guaranteed by the French Republic, the Federal Republic of Germany or the Republic of Italy, and up to 50% of the net assets of ZB Invest Funds – ZB bond 2025 EUR, open-ended investment sub-fund with public offering, in transferable securities and money market instruments issued or guaranteed by Romania

7. Decision granting authorisation to the company ZB Invest d.o.o. za upravljanje investicijskim fondovima, Zagreb, for the establishment and management of ZB Invest Funds – ZB bond 2028 EUR, open-ended investment sub-fund with public offering, and to include this sub-fund into ZB Invest Funds, the umbrella UCITS fund, which includes the approval of the prospectus and rules of the sub-fund, as well as the approval for the selection of the depositary for the sub-fund – the company ZAGREBAČKA BANKA DIONIČKO DRUŠTVO; and granting authorisation to invest up to 100% of the net assets of ZB Invest Funds – ZB bond 2028 EUR, open-ended investment sub-fund with public offering, in transferable securities and money market instruments issued or guaranteed by the Republic of Italy, and up to 50% of the net assets of ZB Invest Funds – ZB bond 2028 EUR, open-ended investment sub-fund with public offering, in transferable securities and money market instruments issued or guaranteed by Romania, Hungary or the Republic of Bulgaria

8. Decision granting authorisation to Global Invest d.o.o., with its registered office in Zagreb, OIB: 89492953056, to establish and manage Skup B open-ended alternative investment fund without legal personality with private offering

9. Decision granting authorisation to the company SQ CAPITAL društvo s ograničenom odgovornošću za upravljanje investicijskim fondovima, Zagreb, to establish and manage an open-ended alternative venture capital investment fund without legal personality with private offering titled SQ alternative investment fund with private offering

10. Decision granting authorisation to Bruno Mahovlić to perform the function of a member of the Management Board of the company ALTERNATIVE INVEST d.o.o. za upravljanje investicijskim fondovima, Međimurska ulica 21, Zagreb, OIB: 34251042886, LEI: 254900E8AXSW4FIG7E30, for a term of office lasting for 3 (three) years, starting as of 26 June 2023
