1st Meeting of the Board

On 13 January 2022, the Board of the Croatian Financial Services Supervisory Agency held its 1st meeting and adopted the following decisions of public interest:

  1. Instruction for the application of the chart of accounts for central counterparties (CCPs)

Decision granting authorisation to the alternative investment fund management company MEZZANINE PARTNERS dioničko društvo za upravljanje alternativnim investicijskim fondovima, with its registered office in Zagreb, Radnička cesta 39, personal identification number (OIB): 96964166708, for the establishment and management of the closed-ended alternative venture capital investment fund without legal personality with private offering Croatian Mezzanine Debt Fund, Zatvoreni alternativni investicijski fond 
  1. Decision granting approval to the company Raiffeisen Kapitalanlage - Gesellschaft mbH with its registered office in Vienna, Mooslackengasse 12, Republic of Austria, entered in the register of the Commercial Court in Vienna, Republic of Austria, under the registration number FN 83517 w, personal identification number (OIB): 24461480194, to directly acquire a qualifying holding; and granting approval to the companies RBI Beteiligungs GmbH with its registered office in Vienna, Am Stadtpark 9, Republic of Austria, entered in the register of the Commercial Court in Vienna, Republic of Austria, under the registration number FN 217076 f and RBI Invest GmbH with its registered office in Vienna, Am Stadtpark 9, Republic of Austria, entered in the register of the Commercial Court in Vienna, Republic of Austria, under the registration number FN 217073 a, to indirectly acquire a qualifying holding in the UCITS management company Raiffeisen Invest društvo s ograničenom odgovornošću za upravljanje UCITS fondovima, with its registered office in Zagreb, Magazinska cesta 69, personal identification number (OIB): 81769224349, reaching 100% of the initial capital and voting rights of that company

  1. Decision ordering the insurance agency OVB Allfinanz Croatia d.o.o., Maksimirska 96/I, Zagreb, personal identification number (OIB): 79130948331, for the purpose of eliminating illegalities, to improve the quality of its insurance distribution business by taking the following measures, without delay: as regards insurance class 23 - life or annuity insurance where the policyholder bears the investment risk, to ensure that potential insurance policyholders are provided during sales conversations, equally and without exception, information on all insurance contracts of all insurance companies on whose behalf and for whose account it conducts insurance distribution business, in accordance with Article 430(1) and (3) of the Insurance Act; to ensure that potential insurance policyholders are given, prior to the conclusion of the insurance contract, including at the first meeting with the potential insurance policyholder, while proposing the conclusion of the insurance contract or carrying out other preparatory activities for the conclusion of the insurance contract, if the policyholder has expressed their clear and unquestionable intention to conclude an insurance contract, in a timely manner and without exception, the entire pre-contractual documentation, and are provided all the information that, as regards their contents and manner of their provision, fully complies with the obligations laid down in Article 380(1), (5) and (6) relating to Article 406 (1) and Article  436f(1) of the Insurance Act and with Article 431(1) and Article 432(1) and (4) relating to Article 436(1)-(6) of the Insurance Act, and Article 926(3) relating to Article 295(5) of the Civil Obligations Act relating to Article 406(1) and Article 399(1)(1) and (5) of the Insurance Act; as regards the conduct of suitability tests relating to distribution of products not including the provision of advice, to ensure steps are taken in accordance with Article 436g(3) of the Insurance Act prior to the conclusion of the insurance contract, including at the first meeting with the potential insurance policyholder, while proposing the conclusion of the insurance contract or carrying out other preparatory activities for the conclusion of the insurance contract, if the policyholder has expressed their clear and unquestionable intention to conclude an insurance contract; and as regards insurance class 02 - health insurance, to ensure that potential insurance policyholders are given, prior to the conclusion of the insurance contract, including at the first meeting with the potential insurance policyholder, while proposing the conclusion of the insurance contract or providing advice on insurance contracts or carrying out other preparatory activities for the conclusion of the insurance contract, if the policyholder has expressed their clear and unquestionable intention to conclude an insurance contract, in a timely manner and without exception, the entire pre-contractual documentation, and are provided all the information that, as regards their contents and manner of their provision, fully complies with the obligations laid down in Article 380(1) and (2) relating to Article 406(1), Article 431(1), Article 432(1) and (4), Article 433(1), (6), (7) and (10), and Article 436(1)-(6) of the Insurance Act, and Article 926(3) relating to Article 295(5) of the Civil Obligations Act relating to Article 406(1) and Article 399(1)(1) and 5 Insurance Act.
